A prerequisite for Qliro to be able to realize its business strategy and take advantage of the company’s long-term interests, including its sustainability, is that Qliro can attract, motivate and retain senior executives in competition with comparable Nordic companies, primarily Nordic credit market companies and banks specializing in e-commerce payments. and within digital consumer finance. These guidelines must therefore enable senior executives to be offered a competitive total remuneration. At the same time, Qliro’s compensation system must be compatible with and promote sound and efficient risk management and counteract excessive risk-taking.
Remuneration to senior executives in Qliro shall in both the short and long term be based on the individual’s performance and responsibilities as well as the financial outcome in Qliro and link the interests and rewards of the senior executives with those of the shareholders.
Fixedsalary
The senior executives’ fixed salaries are revised annually and must be competitive and based on the individual’s competence, responsibility and performance. The fixed remuneration shall also constitute a sufficiently large part of the senior executive’s total remuneration for it to be possible to set the variable part to zero
Variableremuneration
The senior executives’ short-term cash variable remuneration shall be based on how well-established goals for their respective areas of responsibility and for Qliro have been met. In the assessment, both financial and non-financial criteria must be taken into account. The outcome must be linked to measurable goals.
Variable remuneration can amount to a maximum of 100 percent of the senior executive’s fixed annual salary.
WarrantplanestablishedinNovember2020
In November 2020 an Extra General Meeting decided to establish a warrant plan for the Executive management and other key personnel at Qliro. A total of 23 employees signed up for 834 920 warrants. Each warrant entitles the owner to subscribe for one share in Qliro during two different periods, either during the fourth quarter of 2023 or during the first quarter of 2024 at specific dates which you will find in the pressrelease below. The subscription price when subscribing for shares in Qliro using the options was set at SEK 43.27 and the value limit per option at SEK 80.13.
